Dear Sir or Madam:

I am writing on behalf of the parties to the above captioned proposed

acquisition (collectively the Parties). This letter is directed to you as the

attorney for the State of _____________________________________

(State). It is the intention of the Parties to provide documents and

information to State so that it can conduct an investigation of the

proposed acquisition of certain assets of (the Acquisition) so long as the

documents and information produced are afforded appropriate safeguards

to preserve their confidentiality as provided by law. To facilitate State’s

access to documents and information and to protect the Parties’ interest

in the confidentiality of documents and information to be produced to

State, the Parties and State agree as follows:

Except as provided below, State agrees to keep, and to take

reasonable measures to keep, each non-public document and all non-

public, information received pursuant to this agreement confidential and

agrees to use such documents and information solely for law

enforcement purposes, as set forth below. State agrees not to share

documents, information, and analyses based upon such information and

documents with any law enforcement agency outside the State. Further,

State agrees that non-public documents and the specific information

contained in them obtained pursuant to this agreement shall not be made

public, except as may be relevant to any judicial action relating to the

Acquisition. Such documents shall not be shown nor their contents

revealed to third party witnesses in interviews or depositions or to other

law enforcement agencies without the consent of the Parties. State

agrees not to directly quote from the Parties’ documents or information
