Dear Ms. Doe:

As we discussed this morning, you have requested a one-week

extension of the thirty-day waiting period under 16 C.F.R.

§ 803.20(c)(2), until December 12, 2013, with respect to the above-

referenced transaction. You stated that this extension was necessary in

order for the Federal Trade Commission to complete its review of

materials submitted by the parties in response to your Request for

Additional Information, dated October 3, 2013. According to your letter

of November 9, 2013, the waiting period began to run on November 4,

2013, and is currently scheduled to expire on December 5, 2013.

I have discussed your request with my client, who is agreeable to it. I

therefore certify on behalf of Acme, Inc. that it consents to an extension

of the waiting period under Section 803.20(c)(2) of the premerger

regulations until December 12, 2005, and that it will not consummate the

transaction until after that date.
