Dear Mr. Doe:
On April 1, 2013, the Federal Trade Commission issued its
Decision and Order in the above-referenced matter against ABC
International, Inc. (ABC). Paragraph II of the Order requires that ABC
divest the Widget Assets (as defined in Paragraph I(X) of the Order)
within nine (9) months after the Order becomes final. The Order became
final on April 10, 2013, the date on which it was served on ABC.
Accordingly, ABC must complete the divestiture by January 10, 2014.
Paragraph III of the Order provides for the appointment of a trustee to
accomplish the divestiture if ABC fails to divest by that date.
Additionally, Paragraph II(E) requires ABC to comply with the Hold
Separate Agreement pending divestiture.
Paragraph IV of the Order requires ABC to file a verified written
report (sixty-day report) concerning its compliance with Paragraph II of
the Order within sixty (60) days of the date the Order becomes final and
every sixty (60) days thereafter until ABC has fully satisfied the,
divestiture requirements of the Order. ABC’s first sixty-day report is due
on June 9, 2013.
In each sixty-day report, ABC should describe completely the
steps it has taken to accomplish the divestiture required by the Order.
Each report must contain all information and documentation specified in
Paragraph IV of the Order, and:
1. A list and description of all assets to be divested;
