TENANT ESTOPPEL CERTIFICATE

RE: Space described as __________ (the "Property")

I/We hereby warrant and represent the following with respect to the Property:

1. There presently exists a valid Lease of the Property dated __________, 20___, between the Tenant identified above and __________ as Landlord (the "Lease"). A true copy of the Lease is attached hereto as Exhibit A.

2. The Lease is in full force and effect and there are no defaults and no state of facts which, if allowed to continue, would amount to a default, to the best of Tenant's knowledge, information, and belief.

3. Except as noted in Paragraph 6 below, no security deposits, advance rentals, prepaid rent, trade-offs for rent, or damage deposits have been paid or made under the Lease except (insert either "None" or give specific information) __________.

4. There have been no modifications or amendments to the Lease other than (insert either "None" or attach any addenda or amendments) __________, and the Lease has not been assigned by Tenant, nor has Tenant subleased the Property.
