FORM 6F • EXCLUSIVITY PROVISION

Seller hereby agrees that during the Exclusivity Period, neither Seller nor any representative (including directors, officers, employees, shareholders, partners, agents, advisors, representatives or any other persons acting under the direction of any of them or any of their affiliates) (the "Representatives") thereof, will: (a) solicit, negotiate, encourage or otherwise discuss (including continuing any current discussions or negotiations) with any person or entity other than Buyer and its affiliates and advisors, (i) the sale, directly or indirectly, of any interest in the Property, (ii) any other debt or equity financing of the Property; (b) furnish any non-public information concerning the Property to any person or entity, other than Buyer and its affiliates and advisors; or (c) enter into any agreement with respect to a transaction with any person or entity other than Buyer or its affiliate.
