You should. Job descriptions clarify roles and, when used properly, prevent board members and committees from over-
stepping their responsibilities.
The nominating committee plays a key role in the organization’s success by selecting the individuals who will guide the
board. You should consider the nominations function as key to an effective board because it provides “succession plan-
ning” for the organization’s board.
To be effective and productive, the nominating committee should analyze the skills the board requires, and what skills the
board currently lacks. A “recruitment matrix” is a tool many boards use to perform this analysis.
The CEO should be a member of this committee—after all, you will be working with these new members, your future bosses.
A key responsibility of the nominating committee is to recruit board members with the skills to help the organization work
toward the accomplishment of the strategic plan’s goals, and propose to the full board a qualied set of candidates for
approval.

Position Description: To nominate qualied candidates for board and board officer positions.
Duties and Responsibilities:
Anticipate vacancies on the board.
Evaluate current board members’ participation in board activities, and recommend to the board chairperson
members who need to reaffirm their commitment to the organization, or who should be asked to resign from the
board.
Communicate to all candidates for the office of board member the quality and commitments required of board
members. Develop job descriptions for board officers and committees.
Regularly ask the board to submit names of qualied candidate prospects.
Ask the executive director to keep an up-to-date le of qualied candidates’ names.
Ask board candidates to complete applications for board membership.
Screen applications for board membership to include an interview and a tour of the facility and submit the
names of nalists to the full board for approval.
Recommend individuals to ll board vacancies that occur during the year.
Nominate and present a slate of board officer candidates.
Recommend board members to replace outgoing nominating committee members.
Assist the administrator and board chair in orienting new board members to board service.
