PREFACE

The Antitrust Section’s Corporate Counseling Committee is pleased

to provide this Second Edition of the Committee’s publication

Frequently Asked Antitrust Questions. This book was conceived of by

our Committee as a basic guide to provide antitrust counselors,

especially in-house corporate counsel, with clear and concise answers to

basic antitrust questions that arise in the day-to-day business of corporate

clients. This publication also seeks to assist counselors in identifying

those situations where additional, more detailed, research may be needed,

and to provide guidance on where the more detailed answers to these

questions may be found.

The editors and contributors to this Second Edition are heavily

indebted to those who originally conceived of this book, including and

especially former Committee Chair Brian Henry and current Committee

Co-Chair Steven J. Cernak, who led the drafting process for the First

Edition. For this Second Edition, the drafting process was led by

Committee Vice-Chair Jerome A. Swindell, as well as Co-Chair Eric J.

Stock. We greatly appreciate the hard work and expertise provided by the
