Contractual ag reements in the international rea lm can sometimes get a
little messy. Sercenco and General Electric entered into an agreement
in which Sercenco was designated as GE’s service sa les representative
for Peru. Among other things, the contract specica lly forbid viola-
tions of antibribery laws such as the FCPA, and it also required st rict
compliance with GE’s written policy against br ibing foreign ocials to
procure sales.
Sercenco’s problems with GE arose out of events relating to a main-
tenance agreement that Sercenco had entered into with Electricidad
