WHEN I SPOKE in April to the Corporate Women Directors International colloquium in Washington, D.C. (www.globewomen.com), one of the points I stressed -- in this time of governance distress -- is that directors are human beings...and, not being gods or saints or angels, are fallible. There can never be such a thing as a mistake-free boardroom. As much progress as we have made in our journey to a higher state of enlightenment (traced in the Fall 2001 25th anniversary edition, "An Oral History of Corporate Governance"), boards are made up of men and women who are not yet perfect beings and thus will make errors of judgment. We have laws and structures and strictures formulated over time to guide us in due process, but governance at its core is human...
