Jeff Stratton, Board and Administrator editor, retires
Jeff Stratton, the longtime editor of
Board and Administrator, is retiring. He
has served the publication for nearly
30 years. His thoughtful leadership and
expertise in the area of board manage-
ment have been integral to the success
of the newsletter, and lling his shoes
has been a nearly impossible task.
Jeff has been married to his wife,
Kayla, for more than 30 years. They have
a 24-year-old daughter, Greer, and a
giant yellow Labrador named Bilbo. Jeff
plans to spend his retirement reading
mysteries, watching golf on television
and cooking.
We at Wiley wish him the absolute
best in his retirement, and thank him for
all of his years of service.
California introduces bill
to increase board diversity

In the wake of the worldwide
protests following the death of
George Floyd, many companies
publicly supported racial diversity
and better representation. How-
ever, supporting a cause does not
always lead to long-term systemic
change. That is why on June 29,
2020, the California State Legisla-
ture introduced proposed legisla-
tion that would compel publicly
owned companies headquartered
in the state to increase diversity
on their boards or face fines.
Introduced by Assemblymem-
bers Chris Holden and Cristina
Garcia, with Eloise Gomez Reyes
as principal co-author, Assem-
bly Bill 979 would require public
companies to have at least one
director from an underrepre-
sented community by the end of
2021. By 2022, corporate boards
with more than four members
must include two members from
underrepresented communities,
while corporations with more
than nine members must have a
minimum of three minority direc-
tors. AB 979 defines underrep-
resented communities as African
American, Hispanic, or American
Indian.
“Corporations have money,
power and influence,” said As-
semblymember Holden. “If we are
going to address racial injustice
and inequity in our society, it’s
imperative that corporate boards
reflect the diversity of our state.”
The legislation is similar to
Senate Bill 826, which requires
gender diversity on boards and
was adopted in 2018. If the bill
is signed into law, publicly held
companies that are noncompli-
ant could face fines between
$100,000 and $300,000.
“By ensuring diversity on their
boards, we know the corporations
are more likely to both create op-
portunities for people of color and
give them the support to thrive
within that corporation,” said As-
semblymember Garcia. But the
benefits aren’t just for the indi-
vidual, the lawmakers argue—
corporations themselves will also
benefit. Said Holden: “Corpora-
tions with ethnically diverse
boards have shown to outperform
those that lack diversity.”
