"Intel will continue to operate responsibly and with the integrity and transparency that has defined our culture."

Those words came from Intel Corp.'s CEO Brian Krzanich in what would turn out to be his last letter in an Intel annual report.

Krzanich resigned Thursday after an internal investigation found he had a relationship with an employee, something that's against the tech giant's non-fraternization policy. (Intel's Chief Financial Officer Robert Swan has been named interim chief executive officer by the board.)

There are few details beyond the release, but it appears the bi didn't know about the affair. #intel #ceos #corpgov

Environmental, social and governance, commonly known as ESG, is a hot topic today in the boardroom, but what should companies be disclosing as far as these efforts.

Directors got a bit of direction from the nation's top securities regulator recently.

All comes down to "what helps the investor make an informed investment decision," stressed U.S. Securities and Exchange Commission Chairman Jay Hayton who spoke at Drexel University's Directors Dialogue Dinner where the establishment of the Raj & Kamla Gupta Governance Institute was announced.

The question about ESC disclosure came from F. William McNabb, the Institute's first executive in residence and chairman Vanguard Group Inc., during a conversation the two men had before the Drexel audience earlier his month.

McNabb asked: "How are you looking at this from a regulatory standpoint?"
