§ 7.15 • BOARD OPERATING PROCEDURES

Not every procedure for operating the association should or needs to be set out in the bylaws. At the same time, it is usually a good idea to formalize the procedures. The board can do that by adopting s set of "operating procedures." The procedures will provide the unit owners with an understanding of how the board operates and yet allow the board flexibility since the procedures are easier to amend than bylaws. Among the topics that board operating procedures might address are:


• How unit owners will be notified of board meetings.
• How the requirement that agendas for governing board meetings must be made "reasonably available" for examination by the unit owners will be met.
• A requirement for an "open discussion" at the end of each board meeting during which unit owners may ask questions and comment on any matters they wish, including those not on the agenda.
• What rules of parliamentary procedure, if any, will apply at board meetings.
• How, if at all, the board will regulate unit owner discussion at meetings.
• The formation and composition of both standing and ad hoc board committees.
• Who among the board members may directly contact the association attorney.
