The SEC adopted rules to improve disclosure to investors on the nominating committee processes at public companies, as well as the ways stockholders may communicate with directors.

The new disclosure standards will require companies to disclose whether they have a separate nominating committee, and if not, the reasons why they do not; their process for identifying and evaluating director candidates, whether their members satisfy independence requirements; and whether they pay any third party a fee to help identify and evaluate candidates.
