There are two general types of mergers under Missouri law. The first is the merger of two or more corporations, which is governed by § 351.410, RSMo Supp. 2004 (“Section 351.410 Merger”). The second is the merger of a parent and a subsidiary, which is governed by § 351.447, RSMo 2000 (Short-Form Merger). Under both Missouri and Delaware corporate law, few distinctions exist between mergers and consolidations. Only mergers are discussed in this chapter.
