Normally, directors and officers are not personally liable for corporate wrongdoing. In Missouri, merely holding a corporation office will not subject a party to personal liability for the wrongdoing of the corporation. See Constance v. B.B.C. Dev. Co., 25 S.W.3d 571 (Mo.
