Section 13 Form-Notice to Shareholders

Proper notice of the shareholders’ meeting must be given to each shareholder of record unless all of the shareholders sign written waivers of notice. If necessary, a record date for the purpose of determining which shareholders are entitled to vote should be set in the board of directors’ resolutions and the notice to shareholders. Section 351.250, RSMo 2000. Notice should be given sufficiently in advance of the meeting so as to comply with the timing requirements set forth in § 351.230, RSMo 2000, and perhaps in the corporation’s bylaws. Counsel should note that:

· written notice includes notice by electronic transmission; and

· the statutes do not require publication of the notice of a shareholders’ meeting in a newspaper.
