This book proposes to organize in one volume the Delaware law and practice of the transactional aspects of commercial real estate financing in Delaware. As such, it touches on a broad range of topics—from choice of entity to opinions—that practitioners wrestle with in these transactions. However, there are some caveats to this breadth of subject matter. First, the treatment of topics that are not unique to Delaware law and practice and are dealt with in great detail by other authoritative publications is intentionally general. Moreover, some topics that seem tangential to the focus of this work are included because there is no publication that addresses these aspects of Delaware law. Second, I designed this publication to be for the beginner-to-intermediate practitioner, from someone who exclusively handles real estate finance to the more general practice lawyer who needs a ready reference when commercial real estate transactions come along. In other words, the true expert in this area likely already knows everything contained between the covers of this volume. Additionally, real estate professionals who are not trained in law may find this volume useful. Third, this is not a form book.
