Default Obligations of the Seller under the CISG
CISG Article 30 requires the seller to (1) deliver (2) conforming goods, (3)
hand over any related documents, and (4) transfer the property interest
in the goods—all consistent with the parties’ contract and any applicable
provisions of the CISG. The details of seller’s obligations as to “delivery”
are provided in Articles 31 through 33, while the handing over of related
“documents” is addressed in Article 34. Seller’s obligations regarding con
formity of the goods are laid out in Article 35, and seller’s obligations
regarding transfer of the goods free of any third party property interest
are found in Articles 41 and 42. These default rules provided by the CISG,
in combination with the parties’ contract, serve to describe and dene the
obligations of the seller. They are addressed in varying levels of specicity
below—focusing, in particular, on the issue of “conformity of the goods.
