Parol Evidence Rule

Form of Objection

· Question calls for [proffered testimony entails] inadmissible parol evidence.

· Question calls for oral testimony to vary the terms of the contract.

General Rule

· The “parol evidence rule” is not a rule of evidence but a rule of contract law. It operates to preclude consideration of certain evidence in determining the content or construction of a contract.

· Extrinsic oral or documentary evidence may not be introduced to supplement, contradict, vary, or negate the terms of an “integrated written agreement”—i.e., one that constitutes a complete and final expression of the agreement.
