II. [§ 3.205] AIDING AND ABETTING

Computer Software Systems is a manufacturer and distributor of a computer software package known as the "C.S. System." In August 2021, without the consent or knowledge of Computer Software Systems (CSS), John Smith, a former employee of CSS, developed and operated a computer software duplication service using information pirated from CSS. During the next six months, Smith, with the assistance of Harris, copied and sold more than 1,000 duplicates of the C.S. System. In May 2022, CSS discovered that pirated C.S. System programs were being sold by Harris, with the assistance of Smith. As a result, CSS brought this action for tortious aiding and abetting.

Computer Software Systems, Inc. (hereinafter "CSS"), Plaintiff, by its attorneys, Young Kim and Kim & Kim, P.A., sues John Smith (hereinafter "Smith") and George Harris (hereinafter "Harris"), Defendants, and states:
1. Plaintiff CSS is a Maryland corporation duly organized under the laws of Maryland with its principal place of business in Baltimore County, Maryland.
2. Defendant Smith is a resident of Baltimore County, Maryland.
3. Defendant Harris is a resident of Baltimore County, Maryland.
4. CSS is a manufacturer and distributor of computer software programs. Since January 2017, CSS has been the exclusive manufacturer and distributor of a computer software package known as the "C.S. System."
5. Defendant Smith, a former employee of CSS, breached his fiduciary duty to CSS by wrongfully converting, reproducing, manufacturing, and selling the C.S. System without the consent or approval of CSS.
6. Harris possessed actual knowledge of the aforesaid tortious and wrongful conduct of Smith.
7. Harris aided, abetted and encouraged Smith's wrongful and tortious conduct and knowingly provided substantial assistance, aid and encouragement in the commission of such conduct by unlawfully selling and distributing unauthorized duplications of the C.S. System.
8. As a result of Defendant Harris's tortious aiding and abetting of Smith's tortious conduct, CSS has suffered severe economic injury, including lost sales, lost profits and other compensatory damages totaling more than One Hundred Thousand Dollars ($100,000).
WHEREFORE, Computer Software Systems, Inc. demands judgment against John Smith and George Harris, jointly and severally, in excess of Seventy-Five Thousand Dollars ($75,000) in compensatory damages, plus interest and costs.
