This designation is made in accordance with that certain exchange agreement dated__________, 20___, by and between [accommodator] and the undersigned named Exchanger. All capitalized words will have the same meaning as set forth in the exchange agreement. Exchanger hereby identifies the following property or properties as potential Replacement Properties:

Exchanger is entitled to acquire no more than___of the above identified Replacement Properties. When Exchanger has acquired that number of properties, Accommodator will not have any obligation to acquire and convey to Exchanger additional Replacement Properties. If Exchanger has not completed the blank in the first sentence of this paragraph, Accommodator will not release any unspent funds to Exchanger until the earlier of the date all of the designated Replacement Properties have been acquired or after the replacement period. The replacement period begins on the date Exchanger transfers the Relinquished Property to Accommodator and ends at midnight on the earlier of the 180th day thereafter or the due date (including extensions) for Exchanger's income-tax return for the taxable year in which the transfer of the Relinquished Property occurs.

Completing the "Designation of Replacement Property" Form

1. Failure to properly complete and file this designation may cause an exchange to be fully taxable. We suggest you have a tax lawyer review your designation before it is filed. Accommodator cannot be responsible for your failure to properly complete and file your designation.

2. The designation must be filed within 45 days of the date that you transferred your Relinquished Property. There are no extensions for weekends or holidays.
