Foreword to the Second Edition
The ABA Forum on Franchising is extremely pleased to publish Fundamentals
of Franchising®—Canada, Second Edition, a must-have resource not only for
Canadian practitioners, but for every international attorney seeking to under-
stand franchising in the Canadian provinces. This book greatly expands the
material in the first edition of this book, adding commentary and analysis for
the four new provinces enacting franchise laws since our original publication
in 2004.
I would like to thank Peter V. Snell and Larry Weinberg for taking the initia-
tive to recommend that a second edition of Fundamentals of Franchising®—
Canada be published at this time and graciously agreeing to continue to serve as
co-editors. I would also like to thank Rebekah Prince for serving as Peter and
Larry’s liaison to the Publications Committee. Of course, this book would not
have been possible but for each of our chapter authors. I would like to express
my deep gratitude to each chapter author: John Rogers and David Shaw (Chap-
ter 1—Structuring and Expansion to Canada); Pascale Cloutier and Stéphane
Teasdale (Chapter 2—Franchising in the Province of Québec); Clark Harrop and
Edward (Ned) Levitt (Chapter 3—Other Laws Affecting Franchising in Canada
(including Privacy); Bruno Floriani and Judy Rost (Chapter 4—Trademark and
Other Intellectual Property Issues); Edith Dover and Darrell Jarvis (Chapter 5—
The Canadian Franchise Agreement); Andraya Frith and Daniel Zalmanowitz
(Chapter 6—Franchise Disclosure Issues in Canada); Jeffrey Hoffman and Geoff
Shaw (Chapter 7—Dispute Resolution and Franchise Litigation in Canada); Jo-
seph Adler and Peter Viitre (Chapter 8—Acting for the Canadian Franchisee);
and Mike Melvin (Appendices).
I would also like to thank Publications Officer Jim Goniea for his continued
leadership of the Forum on Franchising’s Publications Committee. Finally, I would
like to thank the other members of the Forum’s Publications Committee and the
ABA professional staff for making this publication possible.
