Fundamentals of Franchising is one of the signal achievements of the American

Bar Association’s Forum on Franchising. Since the publication of the first edition

in 1997, Fundamentals has introduced countless lawyers to the basics of various

bodies of laws that most directly affect franchising, while also serving as a handy

reference for more experienced franchise practitioners.

Given recent changes in the law, including, in particular, the Federal Trade

Commission’s adoption of its amended Franchise Rule, the time for a new edition

of Fundamentals is at hand. Fortunately for the Forum, Rupert Barkoff and Andy

Selden, who edited the first and each subsequent edition, were willing to reprise

their excellent work on this latest version. Rupert and Andy are among the few

true giants of the franchise bar. Over the years, each has made an enduring contri-

bution to the development of franchise law as a rigorous discipline, and it is only

fitting that their contributions continue with this updated and still invaluable primer

on the field.

Andy Scott, the Forum’s program officer, has done his characteristically

excellent job helping Rupert, Andy, and their authors bring this book to press.
