FOREWORD
The Section of Antitrust Law is pleased to publish Interlocking
Directorates: Handbook on Section 8 of the Clayton Act. This book
provides history, background, and practical guidance on the application
of Section 8 of the Clayton Act.
Although Section 8 is not frequently enforced by the Department of
Justice or the Federal Trade Commission, it has always been an area of
the antitrust laws central to counseling, even if actual litigation invoking
the provision is rare. Section 8 is an important issue to the modern
corporation and, thus, to practitioners who advise those corporations.
Indeed, with the increased activity of private investment funds, many of
which take multiple board seats in addition to their equity positions,
Section 8 issues have become more widespread. In addition, as
technology companies expand their product reaches into new areas,
companies that previously did not compete have been confronted with
Section 8 issues.
The Section of Antitrust Law is grateful to the project chairs for this
volume, Rebecca Farrington and Andrew Finch, along with their team of
contributing authors, for undertaking and ably completing this useful
book, under the leadership of Brian K. Grube and Robert Leibenluft, and
Steven J. Cernak and Eric J. Stock, the Co-Chairs of the Joint Conduct
and Corporate Counseling Committees of the Section of Antitrust Law.
We trust this book will serve as a useful for tool for those who practice in
this field.
