The Quantication of Damages
The CISG provides for the basic expectation remedy and reects the general
principle of full compensation of losses caused by any contract breach. In
fact, much of the statutory language will appear remarkably familiar to a
U.S. lawyer. However, the language and its application under the CISG dif‑
fer from that of UCC Article 2 in a number of ways that, while sometimes
subtle, can be signicant in effect. As always, the CISG must be applied on
its own terms, irrespective of its apparent similarity to domestic law.
One Simple Basic Rule
An aggrieved party is entitled to recover a sum of money equivalent to the
loss of its contractual expectation, as long as such loss was caused by the
breach and was foreseeable.
