I was going through the new Florida LLC Act and the articles written for The Florida Bar Journal and came across what I think is an error in Part II (November 2013) under the section, "Agency Rights of Members and Managers." Under this section it states, "In a member-managed LLC, the default rule under F.S. [section] 605.04074 makes each member an agent of the LLC, whose act binds the company, unless the member had no authority to act for the company in the matter, and the person with whom the member was dealing had no notice that the member lacked authority.
