On December 3, 2009, the Chicago Chapter of TEI sponsored an all-day international tax seminar hosted by McDermott Will & Emery and PricewaterhouseCoopers. More than 100 members and guests attended. Jim McCarthy, director of global tax & fiscal policy and global government relations for Procter & Gamble, was the opening speaker. He discussed legislative developments and potential tax law changes. The first panel (Steven Hannes from MWE, Krishnan Chandrasekhar and Rick Emich from PwC, and Chad Munz from Abbott Laboratories) discussed transfer pricing developments, including the OECD business restructuring discussion draft. The second panel (Tim Anson and Alex Voloshko from PwC, and Sandra McGill and David Noren from MWE) provided an update on principal structures and planning for the possible changes to the "check the box" rules. The third panel (Pat Grube and Lowell Huth from PwC, and Jeff Wagner and Thomas Ward from MWE) explored various international M&A and cross-border restructuring techniques, including the use of partnerships and [section]956 loans.
