Arbitration Clauses
Administered or nonadministered?
If administered, start with the organization’s standard
clause (see Chapter 1 for benefits of administration).
If nonadministered, start with a similar clause, but
omit administration and consider use of à la carte admin-
istration for arbitrator selection and resolution of disputes
concerning impartiality (e.g., AAA procedures at adr.org).
Specify the place of arbitration (consider opposing parties’
city for party initiating arbitration, or a neutral location).
Specify the number of arbitrators (consider single arbitrator
unless demand is over $X).
Specify law that applies unless specified elsewhere in the
contract.
Specify use of arbitration organization’s supplementary pat-
ent rules.
