Representations, warranties, and covenants in purchase agreements are heavily negotiated and provide some of the most significant disagreements between buyers and sellers (see Section 10 of Form 9-1, included on the CD accompanying this deskbook). Buyers wish to have as many representations and warranties regarding the property as possible, particularly with respect to litigation, environmental, and land use matters.
