§12.24 MERE CHANGE IN IDENTITY OR FORM

A transfer of real property is exempt from the real estate excise tax if the transfer results in a mere change in identity or form of ownership of an entity and there is no change in beneficial ownership. WAC 458-61A-211. This exemption includes transfers involving corporations, partnerships, limited liability companies, trusts, estates, associations, and other entities. Except for transfers to family partnerships or family corporations, this exemption is limited to those transfers in which no change in beneficial ownership interest is made. WAC 458-61A-211.

A mere change in form or identity in which no change in beneficial ownership has occurred includes, but is not limited to, the following types of transfers:

(a)	Transfers by an individual or tenants in common of interests in real property to a corporation, partnership limited liability company, or other entity, if the contributors own interests in the entity in the same percentages as they owned in the real property prior to the transfer. (b)	The transfer by a corporation, partnership limited liability company, or other entity of real property to its owners, if the owners hold interests in the real property in the same percentages as they owned interests in the transferring entity. WAC 458-61A-211(2)(b).
(c)	Transfers of real property to and from parent entities and wholly-owned subsidiaries. WAC 458-61A-211(2)(c).
