§ 6.01 Introduction

Pharmaceutical and medical-device manufactures often have complex corporate structures comprised of dozens and even hundreds of affiliated entities. Pfizer, Inc., for example, listed 468 "significant" subsidiaries in its 2017 annual filing with the United States Securities and Exchange Commission, while Johnson & Johnson lists 252 subsidiaries, including 83 in the United States. Pharmaceutical parents use these subsidiaries for several purposes, including marketing and selling drugs and medical devices in different nations, manufacturing and selling particular products, conducting research or other specific functions, or manufacturing and selling generic versions of the parent's own products.
