Welcome to Business Law News (BLN) 2019 Issue 3! As noted in the Message from the Chair, we present in this issue an inaugural article by Neil J. Wertlieb, co-chair (and a founding member) of the nascent CLA Ethics Committee: The Importance of Knowing Who Is, and Who Is Not, Your Client, addressing how key that exercise is to your compliance with California's Rules of Professional Conduct.

We are also pleased to present a reprint of a piece only recently published in the Association of Business Trial Lawyers' newsletter, ABTL Report—an article by Christian G. Andreu-von Euw and Mark Zebrowski, of Morrison & Foerster, The Benefits of Recommitting to Pro Bono, providing real-life examples of ways in which practitioners can benefit from undertaking pro bono representations.

Issue 3 also includes elements of the practical, the theoretical, and the educational:

  • A Tax-Exempt Bond Primer for 501(c)(3) Organizations, by Johnny Hutchinson, a tax partner with Squire Patton Boggs, which provides a practical introduction to a form of financing that allows non-profit entities to fund capital projects at especially attractive interest rates;
  • The New BBA Centralized Partnership Audit Rules and Bankruptcy: A Shotgun Wedding without Any Marital Bliss, a thought-provoking article by A. Lavar Taylor, principal of The Law Offices of A. Lavar Taylor, addressing the complexities of trying to apply the Internal Revenue Service's new partnership tax audit rules in the context of an affected party's bankruptcy; and
  • Another installment of what has become an annual presentation by Thomas R. Phinney (of Parkinson Phinney) and Paul Pascuzzi (of Felderstein Fitzgerald Willoughby Pascuzzi & Rios LLP): Test Your Knowledge: Recent Developments in Insolvency Law, offering readers the opportunity both to catch up on developments in bankruptcy law and to earn MCLE credit.

Now, as always, the BLN is seeking articles of general interest to business law practitioners.
