AUDIT SERVICES AGREEMENT

This Agreement, effective this , 20__, by and between ____________, CPA, 123 Anywhere Street, Somewhere, NY xxxxx (CPA) and the XYZ Fire District , 987 Someplace Street, Somewhere, NY xxxxx ( XYZ or Fire District )

WHEREAS, the XYZ Fire District did solicit a Request for Proposal for Professional Auditing Services (RFP) for the year 20zz through 20zz with optional 20xx and 20xx extensions, in accordance with the article 5-A of the General Municipal Law. The RFP is attached as Exhibit A and made a part hereof.

WHEREAS, the Fire District did publish the RFP and set the date of (insert date) as the date to submit such response to the RFP to the Fire District, and

WHEREAS, CPA was one of the several responses to the RFP that the District received. The response from CPA did successfully respond to all the points addressed in the RFP. The response submitted by CPA was labeled “(insert title of response proposal)” (Proposal) and was dated (insert date of Proposal). The Response to the RPF is attached hereto as Exhibit B and made a part hereof.

WHEREAS, the parties, to comply with the terms and conditions of the RFP the parties have mutually agreed to such terms and conditions contained herein and to memorialize the

Agreement for CPA to provide auditing services to the Fire District

NOW, THEREFORE, the parties make and agree as follows:

SCOPE OF SERVICE

CPA agrees to provide those auditing services as set forth in the Proposal. CPA agrees to provide an annual financial and compliance audit of the Fire District for the fiscal years set forth in the RFP and the Proposal. This audit and audit function is to comply with the term and conditions of the RFP and the Proposal.

INTERPRETATION

In the event of conflict between this RFP and the Proposal, the RFP governs the matter. The Fire District retains primary responsibility for properly recording all transactions in the records it supplies to the CPA and for preparing reliable financial statements, if required by the CPA. Notwithstanding anything herein to the contrary, in the event of any inconsistency or conflict among the documents making up this agreement, the documents must control in this order of precedence: First – the terms of this agreement, as may be amended; Second – the District’s RFP and Third – the Proposal.
