RE: POST-INCORPORATION PROCEDURES
The legal formalities of setting up and establishing your corporation have now been completed. Your
Articles of Incorporation have been filed in the Office of the California Secretary of State; your By-laws
have been adopted; your corporate Minutes have been prepared and properly executed, and the records
of the issuance of your shares of stock are completed.
The transition of your business to a corporation may seem to be a little foreign and somewhat com-
plex to you. To facilitate this transition, we suggest that you read this Memorandum and keep it easily
accessible for future reference.
1. The Articles of Incorporation are the essential legal document that serves as a charter from the State
of California for you to operate as a corporation. They are very broad and general in nature and would
only require amendment in the event of a change of name or some sort of a substantial capital reorganiza-
tion of the corporation.
