AGREEMENT

(LIMITED DETAIL)

TrADEmArk LICENSE AGrEEmENT

THIS TRADEMARK LICENSE AGREEMENT (this “Agreement”) is made and

entered into on (the “Effective Date”), by and between

a corporation, with principal

offices at (“Licensor”) and , a

corporation, with principal offices

at (“Licensee”).

WHEREAS, Licensor is the owner of certain trademarks, service marks,

trade names, trade dress, logos, and other designs and, where applicable,

the registrations therefor (the “Marks,” as more fully defined below);

WHEREAS, Licensee desires to obtain, and Licensor desires to grant to

Licensee, the right to use and sublicense the Marks in connection with

services and related goods and services (the “ Services”)

in accordance with the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the foregoing, the mutual prom-

ises hereinafter set forth and other good and valuable consideration, the

receipt and sufficiency of which are hereby acknowledged, the parties

agree as follows:

1. Grant of License. Licensor grants to Licensee the non-exclusive right to use

and sublicense the Marks in connection with the Services, and marketing and

advertising related to the Services, within the countries set forth in Exhibit A

(the “Territory”), subject to the terms and conditions of this Agreement.

2. Limitations on Right to Sublicense the Marks. Licensee shall have the

right to sublicense the Marks in connection with the Services to third-

party franchisees (“Franchisees”) pursuant to Licensor-approved franchise

agreements (“Franchise Agreements”).
