About the Authors
Joseph Adler is a partner at Hoffer Adler LLP in Toronto, a senior franchise
lawyer and a registered trademark agent. Joseph serves as legal counsel for
Canadian and U.S. (and other foreign) franchisors doing business in Canada
and Canadian franchisors doing business in the U.S. and abroad. He also acts
and has acted for various multi-unit franchisees and franchisee associations as
well. Joseph is the immediate past Secretary and General Counsel to the CFA
(2011–2015) and a former Director and Executive Member of the CFA’s Board
of Directors (2007–2015). Joseph has published and has been quoted in numer-
ous articles and has spoken on various franchising topics at venues organized
by the CFA, the OBA, the ABA Forum on Franchising, and the IFA. Recognized
by his peers, Joseph is consistently listed as a leading practitioner in franchise
law in the International Who’s Who of Franchise Lawyers, Canadian Legal Lexpert
Directory, Franchise Times as a “Legal Eagle”—one of the top franchise law-
yers in the U.S. and Canada—and The National Posts Best Lawyers in Canada
(Franchising).
Pascale Cloutier is a partner in Miller Thomson LLP and is one of very few
lawyers whose call to both the Quebec and Ontario Bars qualifies her as a “na-
tional” practitioner by virtue of her in-depth knowledge of Canada’s two unique
legal systems. Fluent in French and English, she is a commercial litigator with
specialized expertise in franchising. Pascale has appeared before all levels of
court, including the Supreme Court of Canada and the Court of Appeal, as well
as trial courts. Pascale has spoken on various franchising issues at venues orga-
nized by the Ontario Bar Association, the Barreau du Québec, the Conseil
Québécois de la franchise and Multilaw. She is also co-editor and regularly con-
tributes to the journal Franchise and Distribution. Pascale is listed in Best Law-
yers in Canada©, Canadian Legal Lexpert Directory and The International Who’s
Who of Business Lawyers.
Edith Dover is Associate General Counsel at Cara Operations Limited, Canada’s
oldest and largest full-service restaurant company. Edith provides strategic legal
advice to Cara’s business groups with a specialization in all aspects of franchise
law and regulation. She manages franchise agreements and related documenta-
tion, disclosure documents, franchise transfers, disputes and terminations, and
is involved in Cara’s franchise system acquisitions and integration. Prior to join-
ing Cara, Edith practiced commercial litigation at Osler, Hoskin & Harcourt
