ABOUT THE AUTHORS
James D. Cox is the Brainerd Currie Professor of Law at Duke
University. In addition to his texts Financial Information, Accounting
and the Law; Cox and Hazen on Corporations; and Securities Regulations
Cases and Materials (with Hillman & La ngevoort), Professor Cox has
published extensively in the areas of market reg ulation and corporate
governance, as well as having te stified before the U.S. House and Senate
on insider trading, class act ions, and market reform issues. In 2001 he
was awarded an Honorary Doctorate of Mercature from the University
of Southern Denmark for his work in international securities law.
Thomas Lee Hazen is the Cary C . Boshamer Distinguished Professor
of Law at the University of North Carolina, Chapel Hill. His books
include Corporate Counsel Guides: Securities Regulation, a seven-volume
treatise on the law of securities regulation (plus a one-volume student
edition), and he is coauthor of a three-volume treatise on corporate law,
a two-volume treatise on broker-dealer law, and a three-volume treatise
on derivatives regulation.
