This state-by-state analysis of the most pertinent aspects of covenants not to compete is a useful tool for those attorneys who represent corporate clients with personnel in a number of states or who have occasion to review employment agreements executed in other states by prospective employees of a client.

Although covenants not to compete associated with the sale of a business represent far less of a problem, analysis of the validity of competitive restrictions on the activities of former employees can be troublesome in Connecticut and mystifying in many other states. Several other works deal with the theory, logic and operation of noncompetition provisions, and provide an analysis of the factors which are to be weighed in determining their enforceability. However, they are not organized in a fashion which permits a facile state-by-state determination of the several key factors in the evaluation of the validity and enforceability of such agreements.
