§ 4.1.2.1 In General
Defenses to registration violations fall into two categories. In one category, there are statutory defenses that arise from the language of the registration statutes.622 In the other are nonstatutory, equitable defenses to rescission that exist under the Court of Appeals' 2014 interpretation of statutory rescission.623
