3.7.2 Committees of the Board

A.R.S. Sec. 10-3825 addresses committees of the board of directors. Unless the articles of incorporation or bylaws provide otherwise, the board of directors can create committees of the board of directors. Each committee must have at least one director and each member of a committee serves at the pleasure of the board of directors. With some exceptions, committees comprised entirely of directors can exercise a grant of authority given it by the board of directors.^[261]
