3.7.1 Quorum and Voting of Directors

A.R.S. Sec. 10-3820 to 10-3823 address meetings of the board of directors. A meeting of the board of directors can take place by means of communication by which all directors participating can simultaneously hear each other during the meeting. A director participating in this manner is deemed to be present in person at the meeting.

In order to comply with the Arizona Condominium Act and the planned community statutes, a speakerphone should be set up at a location where members can attend and listen to the meeting.^[260]

A.R.S. Sec. 10-3821 allows action by the board of directors without a meeting if the action is taken by all of the directors. The action must be evidenced by one or more written consents describing the action taken, signed by each director and included in the minutes filed with the corporate records reflecting the action taken.
