3.6.9 Vacancies on the Board of Directors

Pursuant to A.R.S. Sec. 10-3811, vacancies on the board of directors should be filled in the manner set forth in the articles of incorporation or bylaws. If the articles of incorporation or bylaws are silent, a vacancy may be filled by the members, the board of directors, or, if the directors remaining in office constitute fewer than a quorum of directors, they may fill the vacancy by the affirmative vote of a majority of all the directors remaining in office.
