§ 3.5.3 Cumulative Voting

“Cumulative voting” refers to the ability of a member to cast multiple votes for the same candidate. A.R.S. § 10-3725 contains specific requirements for when cumulative voting is allowed. If the articles of incorporation or bylaws do not provide for cumulative voting, it is not allowed. ²⁸¹ If the articles of incorporation or bylaws provide for cumulative voting by members, members may cumulate their votes for directors by multiplying the number of votes the members are entitled to cast by the number of directors for whom they are entitled to vote.
