3.4.7 Member Action by Written Consent

A.R.S. Sec. 10-3704 allows the members of a nonprofit corporation to approve any action that requires the members' approval without a meeting if the action is approved by members holding at least a majority of the voting power, unless the articles of incorporation, bylaws or the Arizona Nonprofit Corporation Act require a different approval threshold.
