3.1 INTRODUCTION

The federal securities laws of greatest importance relative to the organization and operation of businesses are the Securities Act of 1933 ¹ (Securities Act) and the Securities Exchange Act of 1934 ² (Exchange Act). The federal securities laws must be considered whenever an entity intends to obtain funds through the issuance of its stock, debt obligations, or other instruments that are classified as a security. ³
