§ 19-36 Contract - Duty of Good Faith and Fair Dealing
In every contract there exists an unspoken, but legally enforceable, promise of good faith and fair dealing. This unspoken promise is an implied covenant of good faith and fair dealing. However, there is no breach of an implied convenant of good faith where a party to a contract has done what provisions of the contract expressly gave him the right to do.
