06-64 MEDICAL EXPENSE REIMBURSEMENT PLAN

MEDICAL EXPENSE REIMBURSEMENT PLAN

[corporate name], a corporation organized under the laws of the State of Arkansas (the "Corporation"), hereby establishes this medical expense reimbursement plan (the "Plan") for the benefit of its employees.

1. REIMBURSEMENT FOR MEDICAL CARE EXPENSES.

A. Effective [date], the Corporation will reimburse at least annually any employee of the Corporation who is employed by the Corporation on a full-time basis for expenses incurred by such employee, for the medical care, as defined in Section 213(e) of the Internal Revenue Code ("IRC"), as amended, of such employee, his or her spouse and dependents, as defined in IRC Section 152. An employee shall be considered as employed on a full-time basis for the purposes of this Plan if he or she customarily works at least 1,000 hours in each year. Expenses for medical care as defined in IRC Section 213(e) include all amounts paid for hospital bills, doctor and dental bills, drugs, and premiums on accident or health insurance, including hospitalization, surgical, and medical insurance. Dependents as defined in IRC Section 152 include any member of employee's family over one-half of whose support is furnished by such employee.
B. The Corporation may in its discretion pay any or all of the above-defined expenses directly in lieu of making reimbursement. In such
