§ 1.7.6.1 Non-Corporate Employee Indemnification. By far, the most common form of doing business in Arizona and elsewhere is through a limited liability company (LLC). Like a corporation, an LLC is formed and governed by statute.⁶⁵ Also like a corporation, but more expansively, an LLC is authorized to indemnify its "members, managers, employees, officers or agents or any other person" from liability, and presumably to advance costs and attorney fees upon doing so, in its articles of organization or by agreement.⁶⁶ Unlike a corporation, however, there are no specific statutory provisions or restrictions that govern the scope and limits of non-corporate indemnification.
